Techmate Terms & Conditions of Sale (B2B and Limited B2C)
1. General Techmate primarily operates as a business-to-business (B2B) supplier, and all sales are governed by these Terms and Conditions. Our products and services are intended for use by businesses, professionals, institutions, and other commercial entities.
Occasionally, we may sell non-chemical items to consumers (individuals purchasing for personal use). In such cases, consumer rights under applicable legislation may apply solely to those specific transactions. By placing an order via our website or by any other means, the customer confirms they are either acting in the course of business or, where applicable, acknowledge the terms relevant to consumer purchases.
2. Consumer Disclaimer Techmate does not sell chemical, hazardous, or specialist goods to consumers. If you are a private individual attempting to purchase restricted items intended for professional or industrial use, your order will be cancelled and refunded where appropriate. Consumers may only purchase non-restricted, non-chemical items.
3. Prices & Quotations All prices quoted are exclusive of VAT unless stated otherwise. Quotations are valid for 30 days from the date of issue unless otherwise specified. Prices may be subject to change due to supplier costs or currency fluctuations.
4. Orders & Specifications Customers are responsible for ensuring that all product specifications are correct at the time of ordering. Any verbal or written approval of a product spec constitutes acceptance of responsibility for the suitability of that product. Techmate cannot accept responsibility for any issues arising from incorrectly approved specifications.
5. Special Orders & Non-Returnable Items For all bespoke, chemical, or specially ordered products, the customer is fully liable for payment once the order has been confirmed. These items are sourced specifically and may not be returnable to our suppliers. Cancellations or refusals to accept delivery will not release the customer from their obligation to pay in full.
6. Returns & Refunds Techmate does not accept returns of non-faulty goods unless agreed in writing in advance. Faulty goods must be reported within 5 working days of receipt, with full details provided. Returned goods must be unused, in original packaging, and accompanied by a return reference number.
7. Delivery Delivery times are estimates only and not guaranteed. Delays do not entitle the customer to cancel the order or withhold payment. Any delivery discrepancies must be reported within 3 working days of receipt.
8. Payment Terms Unless otherwise agreed, standard payment terms are 30 days from invoice date. Techmate reserves the right to withhold future deliveries or charge interest on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
9. Title & Risk Title of the goods shall remain with Techmate until full payment has been received. Risk passes to the customer upon delivery.
10. Liability Techmate’s liability shall be limited to the value of the goods supplied. We shall not be liable for indirect, incidental, or consequential damages arising from the use or misuse of our products.
11. Dispute Resolution In the event of a dispute, both parties agree to seek resolution in good faith. If unresolved, the matter will be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Force Majeure Techmate is not liable for delays or failure to perform any part of the contract due to events beyond our control, including but not limited to natural disasters, supplier issues, transport disruption, or labour disputes.
13. Amendments Techmate reserves the right to amend these Terms & Conditions at any time. Updated terms will be posted on our website and will take effect from the date of posting.
